Terms of Use for EagleEye AI

These Terms of Use ("Terms") govern your access to and use of the EagleEye AI mobile application and related services (collectively, the "Services") operated by Shenzhen Minping Technology Co., Ltd. ("EagleEye AI", "we", "us", or "our"). Our official website is https://minping.io. Please read these Terms carefully.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility and Accounts

• Eligibility: The Services are intended for individuals 13 years of age or older. If you are between 13 and 17, you represent that you have consent from a parent or legal guardian.
• Account Registration: You may create an account via email and password. Third-party sign-in options (such as Google Sign-In or Apple Sign-In) may be available in certain regions or app versions. You must provide accurate information and keep it updated.
• Account Security: You are responsible for safeguarding your account credentials and for all activities under your account. Notify us promptly of any unauthorized use or suspected breach.

2. The Services

EagleEye AI is an AI-powered food label scanner that provides insights based on images of ingredient labels you upload ("User Content"). The analysis and information provided are for general informational and educational purposes only.

• Optional Health Profile Feature: You may optionally create a "Health Profile" by providing personal health information (such as age, gender, allergies, medical conditions, and special conditions). The app will use this information to provide personalized risk alerts and recommendations when analyzing ingredient labels.
• Service Limitations:
  • The Services require an internet connection; you are responsible for any data charges incurred.
  • We reserve the right to modify, suspend, or discontinue any feature or all of the Services at any time, with or without notice, for any reason including but not limited to maintenance, updates, business adjustments, or legal requirements. For material changes or permanent discontinuation, we will make reasonable efforts to notify you in advance via the app, email, or other appropriate means.
  • The app may experience interruptions, delays, or errors due to maintenance, updates, server issues, or technical problems.
  • We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free.

3. Health and Nutrition Disclaimer

THIS IS A CRITICAL DISCLAIMER. PLEASE READ IT CAREFULLY.

The information provided by the EagleEye AI App, including but not limited to ingredient analysis, nutrition insights, additive warnings, and personalized health recommendations, is for general informational and educational purposes only.

• Not Medical Advice: The Services are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition or dietary changes. Never disregard professional medical advice or delay in seeking it because of something you have read on the EagleEye AI App.
• Health Profile Disclaimer: If you use the optional Health Profile feature, the personalized analysis and risk alerts are based solely on the information you provide. We are not medical professionals and do not verify the accuracy of your health information. The personalized recommendations are informational only and do not constitute medical advice tailored to your specific condition. If you have allergies, chronic conditions, are pregnant, breastfeeding, or have any health concerns, you must consult with qualified healthcare professionals before making any dietary decisions.
• No Guarantees: The AI analysis is based on available data and may not be 100% accurate, complete, or up-to-date. Food manufacturers may change their formulas at any time. Always double-check the physical product label.
• Personal Responsibility: Your reliance on any information provided by the App is solely at your own risk.

4. In-App Purchases and Virtual Currency

• Virtual Currency ("Fiery Eyes Beans"): The app uses a virtual currency system called "Fiery Eyes Beans" (or "Beans"). Each ingredient label analysis consumes 1 Bean from your account balance.
• New User Bonus: New users receive 3 free Beans upon registration.
• Purchasing Beans: You may purchase Beans through in-app purchases processed by Apple App Store or Google Play. Available packages and pricing are displayed in the app before purchase.
• Rewards and Promotions:
  • Daily Check-In: Earn bonus Beans by checking in consecutively (e.g., 1 Bean for every 10 consecutive days).
  • Referral Program: If available, you and your referred friends may both receive bonus Beans when they register and use the app.
• Usage and History: Once you analyze an ingredient label, the analysis report is saved to your history and can be viewed unlimited times at no additional cost. Beans are only consumed for new analyses.
• Platform Billing: All purchases are processed by Apple App Store or Google Play and are subject to their respective terms and policies. We do not directly process payments or issue refunds outside the app stores.
• Non-Refundable: Virtual currency (Beans) purchases are non-refundable except as required by applicable law or the app store's refund policy. Unused Beans cannot be exchanged for cash or transferred to another account.
• Service Failure Refund: If an analysis fails due to technical issues on our end, the consumed Bean will be automatically refunded to your account.
• Pricing Changes: Prices and Bean packages may change at any time. Taxes and fees may apply as determined by the app stores and applicable law.

5. User Content and License

• Ownership: You retain all rights to the images and content you upload.
• License to Us: You grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, process, reproduce, display, and analyze your User Content solely to operate, maintain, and improve the Services (including using third-party AI services for image analysis).
• Your Responsibilities: You represent and warrant that you have all necessary rights to upload the User Content and that it does not violate any law or infringe any third-party rights.
• Deletion and Retention: You may delete your User Content subject to app functionality. We may retain and use information as described in our Privacy Policy.

5A. Health Profile Accuracy and Responsibility

If you choose to use the optional "Health Profile" feature:

• Accuracy Requirement: You represent and warrant that all health information you provide (including age, gender, allergies, medical conditions, and special conditions such as pregnancy or breastfeeding) is accurate, complete, and current.
• Your Responsibility: The accuracy and relevance of personalized analysis depend entirely on the quality and accuracy of information you provide. You are solely responsible for any consequences resulting from inaccurate, incomplete, or outdated health information.
• Update Obligation: You agree to update your health profile promptly if your health status changes.
• No Verification: We do not independently verify the health information you provide and rely solely on your representations.

6. Acceptable Use

You agree not to misuse the Services. For example, you must not:

• Violate any law or rights of others; upload unlawful, harmful, deceptive, or infringing content.
• Interfere with or disrupt the Services; bypass or attempt to bypass security or access controls.
• Attempt to reverse engineer, decompile, or disassemble the App except where such restriction is prohibited by law.
• Use any automated means (scrapers, bots) to access the Services without our prior written consent.
• Upload content or code containing viruses, malware, or other harmful components.

7. Intellectual Property

The Services and all of its original content, features, and functionality (excluding User Content) are and will remain the exclusive property of EagleEye AI and its licensors. The App is protected by copyright, trademark, and other laws of the United States.

• Analysis Reports: The ingredient analysis reports generated by the app, including all text, data, recommendations, and insights, are our intellectual property. You may use these reports for your personal, non-commercial reference only. You may not reproduce, distribute, sell, publicly display, or use analysis reports for any commercial purposes without our prior written consent.

8. License and Feedback

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the App for your personal, non-commercial use. EagleEye AI names, logos, and marks are our trademarks. If you submit feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

9. Third-Party Services and Links

The Services may integrate or link to third-party services (e.g., Google/Apple Sign-In, analytics, app stores). We are not responsible for third-party content, policies, or practices. Your use of third-party services is subject to their terms.

10. Changes to the Services and to These Terms

We may modify or discontinue features at any time. We may update these Terms from time to time. If we make material changes, we will notify you via the App or other reasonable means. Your continued use after changes take effect constitutes acceptance of the revised Terms.

11. Termination and Account Suspension

• Termination by You: You may stop using the Services and delete your account at any time, which will terminate these Terms.
• Termination by Us: We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason including but not limited to:
  • Breach of these Terms or any applicable law
  • Actions that may harm us, other users, or third parties
  • Extended periods of inactivity
  • Legal requirements or government requests
  • Business, security, or operational reasons
• Violation Consequences: Depending on the severity of your violation, we may take one or more of the following actions:
  • Warning: Issue a warning and require you to correct the violation within a specified time
  • Feature Restriction: Temporarily limit your access to certain features (e.g., uploading images, analysis)
  • Suspension: Temporarily suspend your access to all or part of the Services
  • Permanent Ban: Permanently terminate your account and prohibit future use
  • Legal Action: For serious violations, we reserve the right to pursue legal remedies, report to authorities, or seek damages
• Appeal Process: If you believe our action was taken in error, you may contact us using the information in Section 17. We will review your appeal and respond within a reasonable time (typically within 15 days).
• Effect of Termination: Upon termination:
  • You will lose access to the Services and your account
  • Your rights and licenses under these Terms will immediately cease
  • We may delete your account and data in accordance with our Privacy Policy, except where we are required to retain certain information by law
  • Sections of these Terms that by their nature should survive (including disclaimers, limitations of liability, indemnification, and dispute resolution) will continue to apply
  • Termination does not relieve you of any obligations or liabilities incurred before termination

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAGLEEYE AI AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) USD $100; OR (B) THE AMOUNT YOU PAID (IF ANY) FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; YOUR RIGHTS MAY VARY.

14. Indemnification

You agree to indemnify and hold harmless EagleEye AI from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services or violation of these Terms.

15. Governing Law; Venue; Export

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California. You must comply with all applicable export control laws.

16. Miscellaneous

• Privacy: Our Privacy Policy explains how we collect and use personal information.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Severability; Waiver: If any provision is unenforceable, the remainder remains in effect. Our failure to enforce any provision is not a waiver.
• Entire Agreement: These Terms, together with the Privacy Policy and any applicable purchase terms from Apple/Google, constitute the entire agreement between you and us regarding the Services.

18. Force Majeure

Neither party will be liable for any failure or delay in performance resulting from causes beyond their reasonable control, including but not limited to:

• Acts of God, natural disasters (earthquakes, floods, hurricanes, pandemics)
• War, terrorism, riots, civil unrest, or acts of government or military authorities
• Fire, explosion, power failures, or telecommunications failures
• Internet or network infrastructure failures, cyberattacks, or hacking incidents
• Strikes, labor disputes, or shortages of materials, facilities, or transportation
• Changes in laws, regulations, or government orders

The affected party will:

• Notify the other party as soon as reasonably possible
• Use reasonable efforts to minimize the impact and resume performance
• Not be liable for any damages, delays, or failures caused by such events

If a force majeure event continues for more than 30 days, either party may terminate the affected portion of these Terms without liability.
